SLS may defer and potentially waive up to $10,000 in fees for Initial Corporate Work, subject to the conditions below.

1. Exclusions from Fee Deferral – The deferral does not apply to:
   • Out-of-pocket costs (e.g., filing fees)
   • Third-party costs
   • Any work outside of Initial Corporate Work, including:
     • Litigation
     • Foreign law or foreign subsidiary work
     • Intellectual property (IP) matters, such as:
       • Trademark searches
       • Trademark and patent filings
     • Regulatory work (e.g., cryptocurrency regulation, CFIUS)
     • Negotiating or drafting commercial contracts
     • Work performed by a corporate secretary firm
2. Fee Waiver Conditions – Up to $10,000 in Initial Corporate Work fees will be waived if the Company raises money in a preferred stock financing and uses the law firm partner for that financing and all other fees to the law firm are paid in full (including the preferred stock financing fees). Fees will not be waived and be due immediately, if the company:
   • Raises preferred stock financing with a different law firm
   • Sells assets or is acquired before a preferred stock financing
   • Does not plan to raise a preferred stock financing
